Corporate, partnerships and joint ventures

Michael Adie has set up bespoke companies, including offshore structures for clients and has advised clients on partnership issues. 

Louise Pepperdine trained with a corporate practice and has been involved in drawing up shareholder agreements generally and for joint ventures and in advising on share sales, merging businesses etc.

Recent commissions include:

The Partners are experienced in the acquisition and disposal of assets, shares and businesses as going concerns and for break up. The Partners will work with your other advisors to ensure that a sale or purchase is structured in a tax efficient manner. Above all, we will not lose sight of your commercial interests.

We will advise on employment issues arising out of a business sale, and other potential liabilities. We also have practical experience of dealing with letters of credit and negotiable instruments.

Michael Adie & Louise Pepperdine dealt with a purchase of a manufacturing facility (as a going concern) from administrative receivers, a lease of premises and limiting liability for contamination.  They have also been involved with the sale of assets for several million US dollars to a company based in China.  The practice advised on the sale agreement, employment aspects and redundancies, sale structure, letters of credit and export licenses.  They dealt with the assignment and registration of a number of UK and US registered patents and the granting of limited licenses for the use of intellectual property.

Medical Partnerships and Pharmacies

We have experience in advising on partnership agreements (conforming to current BMA guidance) and issues relating to Pharmacy Licenses, whether on behalf of General Practitioners’ practices or on behalf of Pharmacists’.

We are familiar with Standard General Medical Contracts and the issues arising from entering into and dissolving partnerships.

Charities and Sports Associations.

We have wide experience of acting on behalf of registered charities, sports associations and clubs, and have dealt with a number of rugby and football clubs in relocations, grant funding and the formation of sports associations. We are able to advise on both structure (CASK -V- Registered Charity -V- Company Limited by Guarantee) and meeting the requirements of funders and grant conditions.

Louise has acted for a number of rugby clubs and mixed use sports associations on formations/ relocations and general legal issues.
